Terms of Service
Please read these terms carefully before using ParentLead.
Effective Date: August 1, 2026 | Last Updated: September 17, 2026
These Terms of Service ("Terms") govern access to and use of the ParentLead platform, the related ParentQA experience, and associated services (collectively, the "Service") provided by K12 Assist LLC ("Company," "we," "our," or "us"). By accessing or using the Service as a school administrator, current parent volunteer, prospective parent, or other authorized user, you agree to these Terms. If you do not agree, do not use the Service.
1. Description of Service
ParentLead is an enrollment engagement platform designed for K-12 schools. Through ParentQA, participating schools can offer prospective families an opportunity to connect by SMS text message with current parent volunteers selected or approved by the school. Depending on the school's configuration, an authorized admissions administrator may participate in, receive, or review conversation activity. The Service may also provide matching workflows, dashboards, reports, transcripts, exports, promotional materials, and related support tools.
ParentLead facilitates these connections but does not author, verify, or guarantee statements made by parent participants, and does not guarantee any particular inquiry, application, enrollment, or other admissions outcome.
2. Eligibility
The Service is intended for K-12 school administrators, enrollment personnel, and adult parent participants. By registering or participating, you represent that you are at least 18 years old, that you have authority to act for any school or organization you purport to represent, and that your use of the Service will comply with applicable law and school policy.
3. Account Registration and Security
School administrators must complete the applicable invitation, activation, or registration process to access the school-facing Service. You agree to provide accurate and current information, protect your login credentials, and promptly notify us at help@parentlead.com if you suspect unauthorized access to your account. Accounts may be disabled or access restricted when reasonably necessary for security, legal, or operational reasons.
4. Text Messaging, Consent, and Opt-Outs
ParentQA uses SMS text messaging to facilitate introductions, availability requests, operational notices, and conversations among participating adults.
- Prospective parents choose to participate through a school-specific ParentQA opt-in experience and affirmatively agree to receive text messages related to that connection.
- Current parent volunteers join through an invitation and activation process and affirmatively agree to receive operational messages and parent-connection requests.
- School administrators who provide a mobile number for participation may receive operational messages and may participate in ParentQA conversations as part of the Service.
- Participants may revoke SMS consent by replying STOP or through any other method required by applicable law. A carrier or messaging provider may send a final confirmation message.
- Standard message and data rates may apply.
Schools and users agree not to use the Service to send unlawful, misleading, harassing, or unauthorized communications. ParentLead may suspend messaging activity when necessary to protect participants, maintain platform integrity, or comply with applicable law or carrier requirements.
5. School Responsibilities
Participating schools are responsible for:
- Selecting or approving the current parent volunteers who participate on behalf of the school
- Ensuring volunteers and school users are authorized to participate and comply with applicable school policies
- Using ParentLead only for lawful enrollment and school-related purposes
- Maintaining accurate school and administrator information, including the school's required timezone and contact information
- Reviewing and using prospect, conversation, transcript, and export data in accordance with applicable privacy and education laws
- Avoiding the submission of unnecessary student education records or sensitive student information through the Service
- Removing or deactivating a current parent volunteer when continued participation is no longer authorized or appropriate
6. Free 90-Day Pilot
Eligible schools may participate in a free 90-day ParentLead pilot. The pilot begins on the start date established for the school and is offered without a subscription charge during the pilot period. No credit card is required to begin an eligible free pilot unless otherwise expressly stated at signup.
The purpose of the pilot is to allow the school to evaluate ParentLead using its own activity and results. Metrics may include prospective-family opt-ins, identified prospective families, matches, conversations, and related lead or engagement activity. ParentLead does not guarantee that a school will receive any minimum number of prospective families, conversations, inquiries, applications, or enrollments.
At the end of the pilot, continued use of the Service requires the parties to agree to the applicable paid subscription or other commercial arrangement. A school may discontinue the pilot without a subscription charge before converting to paid service.
7. School Data, Conversation Records, and Exports
The participating school retains ownership of its school-specific prospect, conversation, and related enrollment records. ParentLead acts as a service provider in storing and processing those records to operate the Service. Authorized school users may be able to review conversation records and download transcripts or prospect data. The school remains responsible for its own admissions CRM and for determining how exported ParentLead data is imported, retained, or used within that system.
8. Promotional Materials
ParentLead may provide school-specific website graphics, social media assets, newsletter or email materials, QR or print materials, suggested copy, and other promotional resources. During an active pilot or paid subscription, the school may use those materials to promote its ParentQA experience. The school is responsible for its own website placement, advertising purchases, media spend, and compliance with the policies of third-party advertising or publishing platforms.
9. Intellectual Property
Except for school-provided materials and school-specific data, the ParentLead and ParentQA software, branding, designs, content, and related materials are owned by or licensed to K12 Assist LLC and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, reverse engineer, or create derivative works from the Service except as expressly permitted by us or by applicable law. You retain ownership of content you submit and grant us the limited rights necessary to host, process, display, transmit, and otherwise use that content to provide the Service.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. THE COMPANY DOES NOT VERIFY OR GUARANTEE THE ACCURACY OF STATEMENTS MADE BY PARENT PARTICIPANTS AND DOES NOT GUARANTEE ANY PARTICULAR ENROLLMENT OR BUSINESS RESULT.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, K12 ASSIST LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless K12 Assist LLC and its officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of third-party rights, or content you submit through the Service.
13. Dispute Resolution and Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service — including their formation, interpretation, breach, or termination — shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
- Seat of Arbitration: Naples, Florida, USA
- Language: English
- Arbitrator: A single arbitrator selected in accordance with AAA rules
- Judgment: Judgment on the award may be entered in any court of competent jurisdiction
You and the Company agree that any arbitration shall be conducted on an individual basis and not as a class action, collective action, or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Collier County, Florida, to prevent irreparable harm pending arbitration.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Collier County, Florida.
15. Modifications to the Service and Terms
We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the "Last Updated" date and, where appropriate, provide additional notice. Continued use of the Service after the effective date of revised Terms constitutes acceptance of the revised Terms.
16. Termination
Either party may terminate access to the Service subject to any separate written commercial agreement then in effect. We may suspend or terminate access for violation of these Terms, security concerns, legal or carrier requirements, or material misuse of the Service. Upon termination, the right to use the Service ceases, subject to any applicable data export, retention, or deletion obligations.
17. Miscellaneous
These Terms, together with any applicable written subscription, order, or school agreement, constitute the agreement between you and K12 Assist LLC regarding the Service. If a provision is held invalid or unenforceable, the remaining provisions remain in effect. Failure to enforce a provision does not waive the right to enforce it later.
